These Terms of Use ("Terms") govern your access to and use of our services, including our website, applications, and any other products and services provided by Homelead.ai (collectively, the "Services"). Our company integrates artificial intelligence to automate client outreach to real estate agents, wholesalers, and investors. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Services.

Acceptance of Terms

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms, as well as any additional guidelines, policies, or rules provided within the Services. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In such cases, "you" and "your" will refer to both you as an individual and the entity you represent.

We may update these Terms at any time at our sole discretion. When we do, we will revise the "Last Updated" date at the top of this document. It is your responsibility to review these Terms periodically for any changes. Your continued use of the Services after any changes have been made constitutes your acceptance of the new Terms.

Subject to the terms and conditions of this Agreement, Homelead.ai grants Subscriber a limited, revocable, non-exclusive, non-sublicensable, non-transferable, non-assignable license to access the Services for the Term of this Agreement. Subscriber's license and use of the Services is permitted solely for the purposes stated in this Agreement and is subject to the restrictions set forth herein. Except for the foregoing limited license, Subscriber does not receive any right, title, or interest in or to the Services and Subscriber acknowledges that Launch Control retains all right, title, and interest in the Services including all intellectual property rights therein.

Eligibility

To use our Services, you must be at least 18 years old and have the legal capacity to enter into a binding contract under applicable law. By using the Services, you represent and warrant that you meet these eligibility requirements. If you do not meet these requirements, you must not access or use the Services.

The Services are intended solely for users who are real estate professionals, including but not limited to agents, wholesalers, and investors. By using the Services, you acknowledge and agree that you are accessing and using the Services for professional purposes related to real estate.

Description of Services

Homelead.ai provides an innovative platform that integrates artificial intelligence to automate client outreach for real estate agents, wholesalers, and investors. Our Services include, but are not limited to, automated text messaging, client engagement tools, and analytics to help real estate professionals enhance their outreach efforts. By utilizing our Services, you can streamline your communication processes and improve your client outreach. Subscriber's access and use of the Services is limited to identifying and communicating with leads regarding prospective transactions. Subscriber has no right to access, share, or otherwise use the Services for any other purpose.

Account Registration

To access and use certain features of our Services, you must register for an account. During the registration process, you will be required to provide accurate and complete information, including your name, contact details, and any other information requested. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

By registering for an account, you agree to:

• Provide accurate, current, and complete information during the registration process and update such information to keep it accurate, current, and complete.
• Maintain the security and confidentiality of your login credentials.
• Notify us immediately of any unauthorized use of your account or any other breach of security.
• Accept all risks of unauthorized access to your account and the information you provide.

We reserve the right to suspend or terminate your account if any information provided during the registration process or thereafter is found to be inaccurate, not current, or incomplete.

A2P Compliance and Registration Fees

All customers of Homelead.ai are responsible for ensuring compliance with all applicable regulations regarding Application-to-Person (A2P) messaging. This includes, but is not limited to, obtaining and maintaining any necessary registrations, permissions, or licenses required for A2P messaging.

Customers are solely responsible for paying all registration fees associated with A2P Compliance. This includes any initial registration fees, as well as any recurring fees required to maintain compliance.

Average Pricing for A2P Brand and Campaign

• These will be pass-through charges that would directly be sent to the TCR.
• The sub-accounts will be charged a one-time brand registration fee of $4.41 and campaign registration fee of $16.5375 per registration in the case of Sole Prop and Standard Low Volume Brands.
• The sub-accounts will be charged a one-time brand registration fee of $48.51 and a one-time campaign registration fee of $16.5375 per registration in the case of Standard High Volume Brands.
• The one-time camping fees of $16.5 and monthly campaign fees will be around $1.5 to $11.5 based on the campaign use case.

Subscriber agrees to use the Services in accordance with all applicable federal, state, and local laws and regulations and industry standards. Without limiting the generality of the foregoing, Subscriber will use the Services in compliance with the Telephone Consumer Protection Act of 1991 ("TCPA") and all regulations implementing the TCPA, other teleservices laws and regulations, and privacy and data security laws and regulations. While the Services may provide skip tracing data, communication templates, advice and recommendations, and other features, Subscriber bears sole responsibility for compliance with applicable laws and regulations and sole liability for any and all communications sent using the Services.

Cost of Services

Our services include the automatic sending of text messages and the initiation of voice calls to your clients. The costs associated with these services are included, but not limited to, the items below: (costs are subject to change)

• Base price of service (subject to change. User chooses subscription that is best for their needs)
• Text Messages: Each text message sent will be charged at an average rate of $0.02 per text.
• Voice Calls: All voice calls will be charged at an average rate of $0.014/min.
• Emails: All emails sent via CRM will be charged at an average rate of $0.000675/email.

Customers are responsible for all costs incurred from the use of our text messaging, email and voice call services.

Use of Services

By accessing and using our Services, you agree to comply with these Terms and any applicable laws and regulations. You agree not to use the Services for any unlawful or prohibited activities, including but not limited to:

• Sending unsolicited or unauthorized advertising, spam, or promotional materials.
• Impersonating another person or entity or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
• Interfering with or disrupting the integrity or performance of the Services or the data contained therein.
• Attempting to gain unauthorized access to the Services or related systems or networks.

Intellectual Property

All content, features, and functionality available through the Homelead.ai services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, are the property of Homelead.ai or its licensors and are protected by applicable intellectual property laws. This includes all rights, titles, and interests in and to the Services and any associated content.

User Content

By using our Services, you may submit or upload content, including but not limited to text, images, and other materials ("User Content"). You retain all rights to your User Content. However, by submitting User Content to Homelead.ai, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Services and our business.

Payment Terms

Access to certain features of the Homelead.ai services may require payment of fees. By selecting and using these paid features, you agree to pay all applicable fees and charges, including any taxes, in accordance with the terms and prices specified at the time of purchase. All fees are non-refundable, except as required by law or as otherwise expressly stated in these Terms.

Payments for all services, including registration fees and usage costs, are due as specified in your customer agreement. Failure to make timely payments may result in the suspension or termination of your access to our services.

Refund Policy

No Refunds for Account Suspension

Refunds will not be provided if your account is suspended due to violations of our Terms and Conditions or unacceptable usage patterns. This includes, but is not limited to:

• A high "error" rate when sending messages
• A high "opt-out" rate from recipients
• Any form of misuse or abuse of the Service

How to Request a Refund

To request a refund, please contact our customer support team at [email protected] with your account details and the reason for your refund request. We will review your request and respond within 14 business days.

Privacy Policy

At Homelead.ai, we are committed to protecting your privacy. Our Privacy Policy outlines how we collect, use, disclose, and safeguard your information when you use our services. By using our services, you consent to our collection and use of your information as described in our Privacy Policy.

Upon termination, your right to use the services will immediately cease, and we may deactivate or delete your account and all related information and files.

Homelead.ai reserves the right to modify, update, or change these Terms of Use at any time. Any modifications will be effective immediately upon posting the updated Terms on our website. It is your responsibility to review these Terms periodically to ensure you are aware of any changes.

Disclaimer of Warranties

Homelead.ai provides the services on an "as is" and "as available" basis. We do not warrant that the services will be uninterrupted, error-free, or free from viruses or other harmful components.

Limitations of Liability

To the fullest extent permitted by law, Homelead.ai, its affiliates, officers, directors, employees, agents, licensors, and service providers shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your access to, use of, or inability to use the services.

You agree to indemnify, defend, and hold harmless Homelead.ai and its affiliates from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.
